Terms of Service

1. Services

Elio Tech Solutions, Inc. ("Elio", "we", "us") provides B2B outreach system design, deployment, and optimization services as described in project proposals and service agreements. Nothing on this website constitutes an offer or binding contract.

2. Proposals and Agreements

Services are provided under a separate written agreement signed by both parties. The specific scope, timeline, and deliverables are defined in the project proposal.

3. Fees and Payment

Fees are specified in individual project proposals. Payment terms, including schedule and method, are defined in the service agreement. All fees are quoted in EUR unless otherwise stated.

4. Intellectual Property

Upon receipt of full payment, you own all deliverables created specifically for your project, including outreach sequences, targeting criteria, and documentation. Elio retains ownership of proprietary methodologies, frameworks, templates, and pre-existing intellectual property used in delivering the service.

5. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the engagement, including business data, strategies, prospect lists, and technical details. This obligation survives termination of the agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Elio's total liability to you for any claim arising from the services is limited to the fees paid for the specific service giving rise to the claim during the 3 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, lost profits, or loss of data, even if advised of the possibility of such damages.

7. No Guarantee of Results

We provide services with reasonable care and skill. We do not guarantee specific outcomes such as revenue targets, reply rates, meetings booked, or pipeline generated. Results depend on many factors outside our control, including market conditions, your product, and recipient behavior.

8. Governing Law

These terms are governed by the laws of Georgia (country). Any disputes shall be resolved in the competent courts of Tbilisi, Georgia, unless otherwise agreed in writing.

9. Changes to These Terms

We may update these terms from time to time. Changes take effect upon posting to this page. Your continued use of the website constitutes acceptance of the updated terms.
